Terms of Service
Effective date: October 8, 2026
These Terms of Service ("Terms") govern your access to and use of MemberTrace websites, portals, and mobile applications (together, the "Services"), which are provided by New Wave Software LLC ("MemberTrace," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms.
1. The Services
MemberTrace helps professional communities manage memberships, events, communications, payments, files, directories, and related member services. Member organizations ("Organizations") use MemberTrace to operate branded portals and apps for their members and administrators.
If your Organization has a separate written agreement, order form, or subscription with MemberTrace, that agreement governs where it conflicts with these Terms.
2. Accounts
- You must provide accurate information when you create an account and keep it up to date.
- You are responsible for keeping your sign-in credentials secure and for activity that occurs under your account.
- Your Organization and its authorized administrators may manage your access, roles, and membership records within their MemberTrace community.
- Please tell us promptly at support@membertrace.com if you believe your account has been accessed without authorization.
3. Organization Responsibilities
Organizations and their administrators are responsible for:
- the member records, content, and settings they configure in MemberTrace;
- having an appropriate basis to collect and use their members' information through the Services;
- the communications, events, payments, and other activities they offer to their members; and
- ensuring their administrators use the Services in accordance with these Terms.
4. Acceptable Use
You agree not to:
- use the Services in violation of any applicable law or the rights of others;
- upload or share content that is unlawful, infringing, harassing, deceptive, or harmful;
- send spam or unsolicited communications through the Services;
- attempt to gain unauthorized access to the Services, other accounts, or related systems;
- interfere with or disrupt the integrity, security, or performance of the Services; or
- copy, resell, reverse engineer, or create derivative works of the Services except as permitted by law.
5. Your Content
You and your Organization retain ownership of the content you submit to MemberTrace. You grant MemberTrace the permissions needed to host, store, process, display, and transmit that content in order to provide, secure, and support the Services. You are responsible for having the rights necessary to submit your content.
6. Payments
Organizations may use MemberTrace to collect dues, event registrations, and other payments, and may pay MemberTrace subscription fees. Payment processing may be handled by third-party payment processors, whose own terms apply. Fees, billing periods, and refund terms for an Organization's MemberTrace subscription are described in its plan, order form, or subscription agreement.
7. Third-Party Services and Connected Accounts
The Services may let you connect third-party services, such as file-storage providers, payment processors, or social media platforms. Your use of a third-party service is also governed by that service's own terms and policies, and MemberTrace is not responsible for third-party services.
Organization administrators may connect their Organization's own Facebook Page, Instagram account, LinkedIn Page, X account, YouTube channel, or RSS feed to display the Organization's recent posts in its members' MemberTrace home feed. MemberTrace uses that connection only to read the connected account's posts; it does not publish, comment, or message on the Organization's behalf. By connecting an account, you confirm that you are authorized to connect it for your Organization. You can disconnect it at any time, as described on our Data Deletion page.
8. Privacy
Our Privacy Policy explains how we collect, use, and share information when you use the Services.
9. Changes to the Services
We may update, change, or discontinue features of the Services from time to time. We work to keep the Services available but do not guarantee that they will be uninterrupted or error-free.
10. Suspension and Termination
You may stop using the Services at any time. We may suspend or terminate access to the Services if you violate these Terms, if required by law, or to protect the Services, our users, or others. Your Organization may also remove your access to its MemberTrace community.
11. Disclaimers
To the extent permitted by law, the Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of Liability
To the extent permitted by law, MemberTrace will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services.
13. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the effective date and provide additional notice when required by law. Continued use of the Services after changes take effect means you accept the updated Terms.
